All paid work is governed by a separate written proposal or statement of work (SOW) that specifies scope, price, timeline, deliverables, milestones, and payment terms. These Terms supplement that document. If a signed SOW conflicts with these Terms, the SOW controls.
Projects are quoted fixed-price unless the SOW explicitly states otherwise. Scope changes requested after signing require a written change order documenting the new work, price, and timeline impact. We do not invoice hourly on fixed-price engagements.
Payment terms are set in the SOW. Typical structure: a deposit to start, milestone payments during the build, and final payment on launch. Late payments may pause active work. Specifics always live in the signed SOW.
On full payment, you own the final deliverables produced for your project — the code, designs, written content, and hosting credentials. OtrovertLabs retains ownership of any pre-existing tools, libraries, frameworks, and general know-how used to build those deliverables. We may reference the work in our portfolio unless the SOW restricts it.
This website is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure.
Project deliverables carry only the warranties expressly stated in the signed SOW. No other warranties apply to paid work.
To the maximum extent permitted by law, liability for any claim arising out of or related to the website is limited to one hundred US dollars ($100). Liability for paid project work is capped per the signed SOW — typically limited to the fees paid in the three (3) months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
Each party agrees to indemnify and hold the other harmless from third-party claims arising from that party's own intellectual property infringement, negligence, or breach of these Terms. The specific scope of indemnification for paid work is set in the SOW.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last revised" date. Continued use of the site after changes take effect means you accept the updated Terms.
